Paul S. Rafelson

Paul Rafelson is an experienced attorney with over 15 years in complex tax, litigation and M&A matters. Paul is also a trusted resource in the eCom world, regularly quoted in the press on matters involving Amazon and eCommerce, and was the most-cited resource in the House Antitrust Committee’s report on Amazon’s business practices.

Prior to entering private practice Paul spent the majority of his career in-house at some of the largest companies in the world: Microsoft, Walmart & General Electric. Paul is also a professor at Pace University School of Law in New York, where he teaches a constitutional law course on state taxation.

Katie is an associate attorney at Rafelson Law. As a former student in Paul’s constitutional tax law class, Katie joined us in 2020 as a summer-intern and has since been working alongside the rest of the team protecting eCommerce Sellers.

Katie is a passionate advocate for small businesses and defending their rights in the eCommerce world. As an attorney on the team at The Rafelson Firm, Katie uses her unique combination of family-business experience and education to help eCommerce Sellers. Katie currently primarily focuses on M&A transactions by assisting eCommerce Sellers with multi-million dollar exits. Katie is experienced in drafting and revising various transactional agreements such as asset purchase agreements, joint venture agreements, operating agreements, and service agreements.
